DESCRIPTION

Early adopters are already developing, testing and applying Artificial Intelligence (AI) in practice. Understanding AI technology and its fields of application constitute a real opportunity for the legal sector as law firms and legal departments are able to offer new and more efficient ways of supporting clients and businesses.

Join this joint working session held by the AIJA Corporate and M&A Commission and the AIJA In-house Counsel Commission. The session will consider the impact of innovation through AI in the life cycle of M&A transactions, from due diligence, automatised document creation and workflow management, to virtual signing. In addition, we will discuss how digitalisation influences general corporate work, including remote meetings of corporate bodies, and how it affects the exercise of shareholder rights as well as the supervision of the management. Speakers from various countries and with diverse backgrounds, with a wide range of expertise, will ensure a lively discussion.

Alexander Göbel

Niederer Kraft Frey, Switzerland

Alexander is an Attorney-at-Law and Associate with Niederer Kraft Frey (NKF) in Zurich, Switzerland. His practice mainly focuses on cross-border private M&A as well as PE and VC transactions. In addition to his legal and business background (Alexander hold’s law and business administration degrees from Germany and the US), Alexander also has a keen interest in LegalTech and serves as NKF’s LegalTech Officer.

Philip Rosenauer

PHH Rechtsanwälte, Austria

Moderator and Session Coordinator

Philip Rosenauer is a Counsel at PHH Rechtsanwälte and focuses on advising young entrepreneurs, startups and investors on the entire process of corporate development and corporate finance. He also works with national and international clients on issues related to M&A, commercial and corporate law and capital market law. As a Capital Market Coach, he is a licensed advisor for issuers in the ‘direct market plus’ segment of the Vienna Stock Exchange. Philip supports the implementation of legal tech tools at PHH Rechtsanwälte.

Narjess Naouar

Golden Star Resources Ltd., United Kingdom

Narjess Naouar has 13 years of experience as in-house legal counsel in the mining industry. She joined Golden Star Resources Ltd in 2020 as the General Counsel. Prior to Golden Star, Narjess held roles establishing and managing the legal function of several publicly listed mineral exploration and development companies with assets in Africa. Narjess is a dual qualified English and French corporate lawyer with experience spanning across multiple jurisdictions in west and sub-Saharan Africa.

Christian Visti Larsen

CEO & co-founder of NewBanking Identity, Denmark

Christian holds a M.sc. in Business Adm and Auditing and has +20 year’s experience within financial legislation, fintech, RegTech and LegelTech from international Banks and KMPG. With NewBanking Identity the focus is on the entire KYC process; from business procedures, initial risk assessment, onboarding, ongoing monitoring, archiving and deletion targeting the processes of larger Law firms with global needs for automatic verification of ID (passport, driver’s license), PEP, sanction and adverse media scans. Christian has been actively involved with the preparation of the 5AML directive and is a member of the FATF private consultancy forum.  

Harald Sippel

Founder of sippel.legal, Malaysia

Harald is the founder of sippel.legal, a boutique firm assisting companies in their activities in East Asia and the ASEAN region, in particular. Originally from Austria, Harald has spent the majority of his career in East Asia (China, Indonesia, Korea, Malaysia and Taiwan) and has been advising several dozen companies mainly from Europe, with a special focus on international dispute avoidance and dispute resolution, as well as on corporate matters.

Reza Topobroto

Consultant – Legal Tech Expert, South East Asia, Jameson Legal Tech

Reza is a lawyer with more than 20 years experience as corporate counsel and in legal practice. In the last decade he has been championing the digital transformation campaign on legal profession across Asia Pacific and encouraging the legal community in the region to embrace legal technology as the most relevant tools for robust performance and productivity in the midst of disruption.

 

Reza has extensive experience as in-house counsel of multinational companies comprising various business sectors, i.e Procter & Gamble, Mondelez, Microsoft & Indosat Ooredoo.  Prior to in-house life, he worked as a lawyer in law firms in Jakarta. During his tenure in Microsoft, he made successful achievements in collaborating with business in driving digital transformation among its enterprise customers, either private or public sector, including financial services. In Indosat Ooredoo, he led the transformation and digitalization of the business process in the legal team and was acknowledged by Asian Legal Business (ALB) as Innovative Legal Team of the Year 2020. It was his third award from ALB after In-House of the Year 2015 and In-House Legal Team of the Year 2016. At this moment Reza is part of Jameson Legal Tech as a Consultant Legal Tech Expert for South East Asia Market.

 

Reza is currently sitting as the Secretary General of Asia Pacific Corporate Counsel Alliance (APCCA) and representative of Indonesia in In-House Counsel Worldwide (ICW). He is also in the Supervisory Board of Indonesian Corporate Counsel Association (ICCA).

Andreas Müller

Homburger AG, Switzerland

Andreas is a partner of Homburger’s Corporate / M&A team in Zurich. He is one of the main contact persons of the Technology and Digital Economy practice group. He is also the Co-Head of the law firm’s internal IT-Team. In that function he was leading projects in testing and implementing several internal legal tech solutions (for example AI software such as Kira). He regularly uses LegalTech in M&A transactions.
